One final return, with the box checked
Every business that closes files a final federal income tax return for the year it closes, and the return is not final until the box is checked.
The box sits near the top of the front page, below the name and address. What goes in the return depends on the business: an LLC is classified for federal purposes as a partnership, a corporation, or an entity disregarded as separate from its owner. So the form follows that classification, not the name on the state filing.
A corporation that adopts a resolution or plan to dissolve adds Form 966, Corporate Dissolution or Liquidation. Selling business property brings Form 4797 into the return, and where the business itself is sold, Form 8594 allocates the assets.

The last payroll period, filed to its own calendar
If the business paid wages, the employment tax forms run to their own schedule, and the last ones are dated by the final wage payments, not by the dissolution.
Form 941 or 944 covers the quarter in which the final wages were paid. The form carries a box to tell the IRS the business has closed, with the date final wages were paid entered on line 17 of the 941 or line 14 of the 944. Form 940, the annual federal unemployment return, is filed for the calendar year of the final wages with the final box in its Type of Return section checked.
The IRS asks for one extra line on that final return: a statement naming the person who keeps the payroll records and the address where they are kept. Questions about an employee's wages can arrive years later, and that statement is where the answer is looked for.

W-2s go out on the final return's clock
Every employee gets a W-2 for the calendar year of the final wages, and the due date belongs to the final 941 or 944, not to January.
Copies B, C and 2 go to the employee. Copy A travels with Form W-3, the transmittal, to the Social Security Administration. The mechanics do not change because the business is closing; only the calendar does.

Closing the EIN account in Cincinnati
An EIN does not die with the business. It is the permanent federal taxpayer identification number for that business, and closing the account behind it takes a letter.

The Iowa half of the last filings
Iowa's tax accounts close by cancellation, and the returns run through the cancellation date, not the dissolution date.
The Iowa Department of Revenue's rule runs in one line: if you are closing your business, you must cancel all tax permits and file returns through the permit cancellation date. On the cancellation form itself, the final due date is the end of the month following the cancellation date.

Where is the final return box on the return?
Near the top of the front page, below the name and address, on the return the business already files — Schedule C for a disregarded sole-proprietor LLC, 1065 for a partnership, 1120 or 1120-S for a corporation. Checking it is what makes the return the final one.
Can I close the IRS account before filing the last returns?
No. The IRS states it cannot close the business account until all necessary returns have been filed and all taxes owed have been paid. The EIN letter goes to Cincinnati after the returns, not instead of them.
Is the EIN cancelled automatically when the business dissolves?
