What it costs to dissolve a business in Iowa
How much does it cost to dissolve a business in Iowa?
The state fee is $5, whatever the entity
The state's own charge for ending a business in Iowa is five dollars. The Secretary of State charges $5 for a statement of dissolution for an LLC, and the same $5 for articles of dissolution for a profit corporation.
That fee holds across the entity types the office registers: the nonprofit corporation's articles of dissolution, the revocation of a dissolution, and the statement of termination all file at $5 as well. Nothing about the size of the business or its balance sheet moves the fee.
What the $5 buys is the ending of the entity on the state's registry. It buys nothing else, which is the reason the closing order page exists: the cheap filing is one step in a sequence whose costs live elsewhere.

What dissolving stops costing you
The honest accounting counts the fees the dissolution ends, not just the ones it charges.
An Iowa LLC files a biennial report every odd-numbered year, beginning January 1 and due April 1, at $30 filed online or $45 on paper. A profit corporation files in the even years at $60. A dissolved and terminated LLC stops owing that.
That is the whole argument for closing properly rather than walking away: a company that is merely inactive keeps owing the report, and missing it is what leads to the administrative dissolution track, with its own reinstatement fee and its own risks. What happens if an Iowa LLC just stops filing prices that path.

The second $5 filing, and the $5 that undoes one
Two more five-dollar filings bracket the dissolution, and either can matter more than the first.
The statement of termination ends the wind-up once the assets are distributed, at $5. It is optional in the sense that the wind-up can finish without it. But it is the filing that closes the company's record.
The application for reinstatement also files at $5, applicable to the LLC, corporation, and nonprofit chapters alike. That fee revives an administratively dissolved company, and Iowa leaves the door open indefinitely, with a name change required only after five years. A business that might come back should weigh that cost against the services that file dissolutions, because both are cheap and they point in opposite directions.

The Iowa fees the dissolution does not cover
The state agencies beyond the Secretary of State charge nothing to close their accounts, which makes them easy to skip and expensive to forget.
Cancelling the tax permits is free: the Department of Revenue's permits are issued without charge, and form 92-034 cancellation carries no fee. The unemployment insurance account closes on form 68-0294, also without a filing fee.
Free is not the same as costless. Returns are still due through the permit cancellation date, and the final due date is the end of the month following that date. A permit that is never cancelled does not bill anything either, and that is the trap: cancel your Iowa tax accounts and permits covers what the free filings actually require.

What a service charges to file the $5 paperwork
If the sequence is more than you want to hold, services will hold it, and their fees are a real part of the exit cost.
MyCorporation publishes $139 plus state fees for its dissolution filing service. CorpNet's dissolution service pricing starts at $299. Both are filing services around the same $5 state fee, which is worth saying plainly: the state fee is the same whichever of them you pay.
Dissolution services for Iowa businesses compares them against each other and against filing it yourself, from each service's own published prices. The one cost on that page that is fixed is the state's: the $5 statement of dissolution does not get more expensive for having help.

The costs the state does not set
The rest of the exit budget is market-priced, and none of it appears on a state fee schedule.
The claims notices are the clearest case. The written notice to known claimants costs postage. The published notice for unknown claimants runs once in a newspaper of general circulation in the county of the principal office, or posts for 30 days on the company's own website, which is free. The paper route costs what the county paper charges, and paying creditors when an Iowa LLC dissolves explains when that spend is worth it.
Professional help is the same shape. The IRS lists no fee for the final return. But the return itself may be the one year an accountant earns their fee. Start the budget from the fixed numbers: $5 to dissolve, $5 to terminate, and everything else is either market-priced or already owed.
Speed is the one thing the state itself will sell you on top of those numbers: expedited filing service carries a per-document surcharge beyond the filing fee, and preclearance review of a document runs $250 for same day.

Questions
Is the $5 dissolution fee the same for corporations and LLCs in Iowa?
Yes. The Iowa Secretary of State charges $5 for an LLC's statement of dissolution and $5 for a profit corporation's articles of dissolution. Nonprofit articles of dissolution and the statement of termination are $5 as well.
Can I pay extra to speed up a dissolution filing in Iowa?
The office sells speed separately. Expedited filing service is available for many business entity filings, with a per-document surcharge on top of the filing fee. Preclearance, which reviews a document before you file it, runs $250 for same-day review. The plain $5 filing still works without either.
What ongoing costs does dissolving an Iowa LLC stop?
The biennial report — $30 online or $45 on paper for an LLC in each odd-numbered year, and $60 for a profit corporation in the even years. A terminated company stops owing it. Income tax on the business's profits is a different obligation that follows the owners.
How much does the Iowa tax permit cancellation cost?
Nothing. The permits are issued free and the cancellation, form 92-034, carries no fee. What costs money is the tax still owed — returns are due through the cancellation date, with the final due date at the end of the following month.
Is a newspaper notice required when dissolving in Iowa?
No. The publication is optional, and the alternative is free — posting the notice on the company's own website for at least 30 days. Publication in the county newspaper is the other statutory route, priced by the paper, not the state.
