Dissolving a cleaning business in Iowa
What must a cleaning business close when it dissolves in Iowa?
The trade with no state licence to lose
A cleaning business in Iowa usually holds no state trade licence at all, and that absence is the trade's whole difference: everything it must close is a business registration, not a craft credential.
The state's licensing department, the Department of Inspections, Appeals, and Licensing, lists what it regulates: alarms and fire, barbering and cosmetology, building and trades including electrical and plumbing, food and hotels, health facilities and professions, tanning and tattoo. Residential and commercial cleaning is not among the licensed trades.
So the closing list for this trade is the one every Iowa business shares, without a licence line in it. If the company also held a specialty credential, for example pesticide application for disinfecting work, that piece closes like the landscaping company's does. For plain cleaning, the endings are tax accounts, payroll accounts and the entity.

Whether a sales tax permit applies depends on the work
Iowa taxes a service only when its law lists that service. For a cleaning business, that makes the sales and use tax permit a question of what you clean.
The Department of Revenue's list of taxable services includes janitorial and building maintenance or cleaning, for non-residential work only. It also includes carpet, rug and upholstery cleaning and repair. A company that cleans offices and shops will hold a permit. A company that cleans only homes may hold none.
If the company does hold a permit, the closing rule is the one every trade meets. You must cancel all tax permits and file returns through the permit cancellation date. Once issued, a permit stays effective until the owner cancels it or the department revokes it. Dissolving the entity does not close it. Cancel your Iowa tax accounts and permits walks the cancellation, form 92-034 and all.

The payroll tail that follows the last shift
A cleaning business with employees runs the full payroll tail, and the unemployment account is the piece that is easiest to leave open.
The final federal filings run on the last wage payments: the final 941 or 944 with the closed box checked and the date final wages paid, the final 940 with its final box, and the W-2s out by the final return's due date. The IRS expects a statement attached naming who keeps the payroll records and where.
Iowa adds two accounts: withholding, which cancels with the tax permit cancellation on form 92-034, and the unemployment insurance account, which closes on Iowa Workforce Development's form 68-0294, the Application for Termination of Coverage. Final tax filings when an Iowa business closes puts the federal half in order, and the closing order page sequences all of it.

Contracts, keys and the wind-up
Cleaning businesses close with recurring service contracts running, which is this trade's version of the landscaper's prepaid season: customers to settle, and notices worth sending.
Known claimants are the customers paid ahead and the suppliers owed money. The written claims notice carries a deadline that cannot be less than 120 days after the notice is received, and the claims that miss it are barred. The published notice runs once in the county paper or posts for 30 days on the company's website, and it bars the remaining claims unless an action to enforce them starts within three years of publication.
Building access and keys are the trade-specific detail. The wind-up period is the lawful window for returning them, because a dissolved Iowa LLC may still settle and close its activities and affairs. A clean handover with each client, before the final keys go back, is cheaper than a claim letter after. Paying creditors when an Iowa LLC dissolves covers the notices in full.

The entity ending, and starting again
With no licence to close, the entity filing is the whole trade-specific half of this closing, and it is the cheap one: $5 for a statement of dissolution.
The members consent, the company winds up, the statement goes in through the Fast Track Filing system, and the statement of termination, another $5, closes the record once the assets are distributed. Sole proprietors who never formed an entity skip even this half, filing only the final Schedule C and the permit cancellations.
A closed company's name is not lost for good, and Iowa lets an administratively dissolved LLC reinstate at any time for $5, holding its name for five years. If the closing is a pause rather than an end, read what happens if an Iowa LLC just stops filing before choosing between dissolution and walking away.

Questions
Does a cleaning business need a state licence in Iowa?
Not for plain cleaning work. The state's licensing department does not list residential or commercial cleaning among its licensed trades. Specialty work can add one, for example pesticide application, which is licensed by the Department of Agriculture and Land Stewardship.
What must an Iowa cleaning business cancel when closing?
The business registrations — the sales and use tax permit and withholding account with the Department of Revenue, the unemployment insurance account with Workforce Development, and the entity filing with the Secretary of State. No trade licence is in the list, because there is none to close.
What about clients still under recurring contracts?
They are customers of a company in wind-up. Give notice, settle the prepaid remainder, and use the statutory claims notices for anything disputed — the written notice with its 120-day minimum deadline, and the published notice that bars claims after three years.
Does dissolving the LLC cancel the sales tax permit?
No. The permit is effective until it is cancelled by the owner or revoked by the department. Cancelling it through GovConnectIowa or on form 92-034, with returns filed through the cancellation date, is what actually ends it.
Is dissolving a cleaning business different from other trades in Iowa?
Only in what it lacks. The tax, payroll and entity endings are identical. What changes is that there is no state trade licence to renew or close. So the closing list is shorter and the steps that remain matter more.
